What's with the capitalization of "with" versus "With" in titles?

For example: What about Die Hard with a Vengeance or An Evening With Kevin Smith.

Ich checked my own database (titles and episode dividers) and there doesn't seem any winning side for this.

Take it from the cover, whichever way it appears...so be it

Since proper American English rules say that it should not be capitalized, I'd have to go with that, particularly since this is one of the more commonly known words that shouldn't be.  (All titles in my collection are using "with" except for one which too is in all caps so the person had to guess)

I stand corrected, as usual the rules provide the answer. With would be a joining word and ad such should not be capped.
